Terms of Agreement
SingleChristiansOnly.com will review any application to become an affiliate member of our site. SingleChristiansOnly.com reserves the right to reject any application if we feel that your site is not suitable for our affiliate program. The Terms of Agreement will begin when your application is accepted for our affiliate program and will end when terminated by either party. Either you or SingleChristiansOnly.com may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination. You will only be eligible for referral fees earned on sales which occurred during the term. SingleChristiansOnly.com reserves the right to modify the Terms of Agreement at any time by posting a change notice or new agreement on our site. Modifications may include, for example, changes in the scope of available referral fees, fee schedules, payment procedures and Program rules. If you find any modification(s) unacceptable, your only recourse is to terminate this agreement. If you continue to participate in the affiliate program following our posting of a change notice or new agreement on our site, your participation will constitute binding acceptance of the change.
Commissions
SingleChristiansOnly.com will pay you 45% of any paid membership fees for
a referral that results in a paying member. SingleChristiansOnly.com will
not pay any referral fees on referrals which do not result in the person
becoming a paying member. For any referral from your site that results in
a new SingleChristiansOnly.com affiliate member you will receive 10% of
any paid membership fees resulting from that affiliate site's referrals.
Any commissions that total $50.00 or more will result in a commission
cheque for that month. If the commission total is less than $50.00, the
amount will be carried over to the following month(s) until the total is at
least $50.00.
Membership Fees Declined By Credit Card Issuer, Refunded, Charged Back or Bad Cheques
If any paid membership fees are later declined by a member's credit card issuer, refunded, charged back or result in a bad cheque, the amount will be deducted from your commission total. If there is no subsequent commission, we will send you a bill for the balance.
Spam
You agree that you will not send unsolicited emails to email addresses or search engines. You will not perform any email campaigns without our consent. Any violations will result in the immediate termination of this Agreement.
Limitation of Liability:
We will not be liable for indirect, special or consequential damages (or any loss of revenue, profits or data), arising in connection with this Agreement or the affiliate program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and our affiliate program will not exceed the total referral fees paid or payable to you under this Agreement.
Independent Investigation
YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND AGREE TO ALL ITS TERMS AND CONDITIONS. YOU UNDERSTAND THAT WE MAY AT ANY TIME (DIRECTLY OR INDIRECTLY) SOLICIT CUSTOMER REFERRALS ON TERMS THAT MAY DIFFER FROM THOSE CONTAINED IN THIS AGREEMENT OR OPERATE WEB SITES THAT ARE SIMILAR TO OR COMPETE WITH YOUR WEB SITE. YOU HAVE INDEPENDENTLY EVALUATED THE DESIRABILITY OF PARTICIPATING IN OUR AFFILIATE PROGRAM AND ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE, OR STATEMENT OTHER THAN AS SET FORTH IN THIS AGREEMENT.
Miscellaneous
This Agreement will be governed by the laws of Canada and the Province of Ontario, without reference to rules governing choice of laws. Any action relating to this Agreement must be brought in the federal or provincial courts located in Waterloo, Ontario and you consent irrevocably to the jursdiction of such courts. You may not assign this Agreement by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and be enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute waiver of our right to subsequently enforce such provision or any other provision of this Agreement.
